These Terms of Service govern your use of this website and any advisory, consulting, or related services provided by Fadi AlAwami (“the Consultant”). By accessing this website or engaging any service listed on it, you agree to these terms in full.
If you do not agree with any part of these terms, please do not use this website or engage the services described on it.
1. About the Services
Fadi AlAwami provides professional advisory and consulting services in fintech regulation, SAMA and CMA licensing, SME financing, business setup in Saudi Arabia, feasibility studies, and related financial and strategic consulting.
All services are delivered on a project or retainer basis, as agreed in writing between the Consultant and the client prior to commencement of work.
2. Consultations and Bookings
Discovery calls are offered free of charge for up to 15 minutes. They are intended to assess whether a working relationship is appropriate and do not constitute the commencement of any advisory engagement.
Paid Strategy Sessions and Advisory Projects are confirmed only upon receipt of a signed agreement or written confirmation and the applicable payment or deposit, as specified in the engagement terms presented to you.
The Consultant reserves the right to decline any engagement at his sole discretion, without obligation to provide a reason.
3. Fees and Payment
Fees for all paid services are agreed in writing prior to the start of any engagement. The applicable fee, payment schedule, and currency will be stated in the proposal or service agreement provided to you.
Unless otherwise stated in your agreement, payment is due as follows:

Strategy Sessions: full payment is required before the session is confirmed.

Advisory Projects: A 50% deposit is required before work begins. The remaining balance is due upon project completion or as outlined in the project agreement.

Retainer engagements: invoiced monthly in advance unless otherwise agreed.
Late payments may result in suspension or termination of the engagement. The Consultant reserves the right to charge a late payment fee of 2% per month on overdue balances.
4. Refunds and Cancellations
Cancellations made more than 48 hours before a scheduled Strategy Session are eligible for a full refund or a rescheduled appointment.
Cancellations made within 48 hours of a scheduled session are not eligible for a refund.
For Advisory Projects, deposits are non-refundable once work has commenced. If you choose to terminate a project after work has begun, you remain liable for fees covering all work completed to the date of termination.
Retainer agreements may be terminated by either party with 30 days’ written notice. Fees for the notice period are due in full.
5. Nature of the Advice
The services provided by Fadi AlAwami are advisory in nature. All recommendations, analyses, and strategic guidance are provided based on the information made available at the time of engagement and the Consultant’s professional judgment.
Nothing in these terms or in any engagement constitutes legal advice, investment advice, or tax advice. For matters requiring legal or regulatory representation, you should engage a licensed legal practitioner in the applicable jurisdiction.
The Consultant does not guarantee any specific outcome, result, regulatory approval, or business performance resulting from the services provided. Outcomes depend on many factors outside the Consultant’s control, including client execution, third-party decisions, and regulatory processes.
6. Client Responsibilities
To enable the Consultant to deliver services effectively, you agree to:

Provide accurate, complete, and timely information as required.

Respond to requests for input, approval, or documents within agreed timelines.

Notify the Consultant promptly of any material changes to your business, circumstances, or objectives that may affect the engagement.

Ensure that all information you provide does not infringe on the rights of any third party.
Delays caused by the client may affect delivery timelines. The Consultant is not liable for delays resulting from the client’s failure to provide required input in a timely manner.
7. Confidentiality
Both parties agree to keep confidential all proprietary information, client data, business details, and strategic materials shared during the course of an engagement.
The Consultant will not disclose your confidential information to any third party without your written consent, except where required by law or regulatory authority.
The Consultant may reference the nature of work completed in portfolio descriptions or case studies, provided no identifying client information is disclosed, unless you provide written consent to be identified.
8. Intellectual Property
All reports, frameworks, templates, methodologies, and written materials developed by the Consultant prior to or independently of your engagement remain the intellectual property of Fadi AlAwami.
Deliverables created specifically for your engagement are yours upon receipt of full payment. Until full payment is received, all deliverables remain the property of the Consultant.
You may not resell, sublicense, or represent any deliverable as your own original work without the Consultant’s written consent.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Fadi AlAwami’s total liability for any claim arising from or related to these terms or any engagement shall not exceed the total fees paid by you to the Consultant in the three months preceding the event giving rise to the claim.
The Consultant is not liable for any indirect, consequential, incidental, or special loss or damage, including but not limited to loss of profit, loss of business, regulatory penalties, or loss of data, even if the Consultant was advised of the possibility of such losses.

These terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from these terms or any engagement shall be subject to the exclusive jurisdiction of the courts of Riyadh, Saudi Arabia.
13. Changes to These Terms
The Consultant reserves the right to update these Terms of Service at any time. Updated terms will be posted on this page with a revised effective date. Your continued use of this website or engagement of services after any update constitutes your acceptance of the revised terms.
If you are in an active engagement when terms are updated, the terms in effect at the time your engagement commenced apply to that engagement.
